Terms of Service
These Terms of Service ("Terms") are a binding legal agreement between AnySaaS, Inc., a Delaware corporation with its principal place of business at 2261 Market Street #4517, San Francisco, CA 94114, United States ("AnySaaS", "we", "us"), and the individual or entity accessing or using the Services ("Customer", "you"). By clicking "I agree", executing an Order Form that references these Terms, or otherwise accessing the Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an entity, you represent that you have authority to bind that entity.
Section 19 contains a binding arbitration clause and a class-action waiver that affect your legal rights. Please read it carefully.
1. Definitions
- "Services" means the AnySaaS websites, control plane, documentation, command-line tooling, generated container images, and any related professional services.
- "Open Source Edition" means the AnySaaS software distributed under the Apache License 2.0 or such other open-source licence identified in the applicable repository.
- "Enterprise Edition" means the commercial edition of the Services licensed under an Order Form.
- "Order Form" means an ordering document, statement of work, or online purchase form referencing these Terms and executed by both parties (or clicked-through by Customer).
- "Control Plane" means the AnySaaS-hosted APIs and web console used to author prompts, trigger generations, download Generated Containers, and manage account settings.
- "Generated Container" means the application code, database schema, and Docker image produced by the Platform in response to your prompts and configuration.
- "Customer Data" means any data, prompts, or content you or your users submit to the Services.
- "Documentation" means the technical documentation published at docs.anysaas.ai.
- "Business Day" means Monday through Friday, 9:00–18:00 Pacific Time, excluding U.S. federal holidays.
- "Severity Level" has the meaning given in § 6.1.
- "Uptime Percentage" has the meaning given in § 6.2.
2. Eligibility and accounts
You must be at least 18 years old and legally capable of entering into a binding contract. You are responsible for the accuracy of your registration information and for all activity that occurs under your account. Keep your credentials confidential and notify us immediately at [email protected] if you suspect unauthorised access. AnySaaS enforces mandatory multi-factor authentication ("MFA") on all Enterprise accounts within 30 days of first sign-in.
Accounts are for a single legal entity. You may create sub-organisations and unlimited end- user accounts within your Generated Containers, subject to any per-environment or per-generation limits stated in your Order Form. You may not share Enterprise credentials across legal entities or resell access to the Services without a written reseller agreement.
3. The Services
3.1 Open Source Edition
The Open Source Edition is licensed to you under its stated open-source licence. To the extent the open-source licence conflicts with these Terms with respect to the open-source components, the open-source licence prevails. AnySaaS provides the Open Source Edition "AS IS" with community support only; the commercial warranties, indemnities, support commitments, and Service Level Agreement in these Terms apply only to the Enterprise Edition.
3.2 Enterprise Edition
Subject to timely payment of fees, AnySaaS grants Customer, during the subscription term, a non-exclusive, non-transferable, non-sublicensable licence to:
- access and use the Control Plane for the number of AnySaaS Users specified in the Order Form (an "AnySaaS User" is a named individual who authors prompts or administers deployments; end users of your Generated Containers are not AnySaaS Users);
- generate, download, and deploy the number of Generated Containers specified in the Order Form, with unlimited end users per Container;
- use the Documentation solely to support Customer's internal use of the Services; and
- access and download all Container updates and security patches released during the subscription term.
All rights not expressly granted are reserved.
3.3 Free tier
AnySaaS offers a free evaluation tier with the following limits, which may be adjusted on 30 days' notice: (a) 3 concurrent Generated Containers; (b) 50 prompt generations per calendar month; (c) 500 MB total artefact storage; and (d) community-forum support only. The free tier is provided "AS IS" and is excluded from the SLA, support commitments, and indemnities in these Terms.
3.4 Trial subscriptions
Enterprise trials, if offered, run for the period stated on the Order Form (typically 14 or 30 days). At the end of the trial, unless Customer has executed a paid Order Form, the account will convert to the free tier and any usage exceeding free-tier limits will be disabled. Trials are provided "AS IS" and are excluded from the SLA and service credits.
3.5 Beta and preview features
Features designated "beta", "preview", "alpha", or "experimental" are provided for evaluation only, may change or be withdrawn at any time, and are excluded from any SLA, warranty, indemnity, or support commitment.
3.6 Modifications to the Services
AnySaaS may modify the Services from time to time. For any modification that materially decreases the overall functionality of a paid Enterprise feature during the subscription term (an "Adverse Change"), AnySaaS will provide at least 60 days' prior written notice. If Customer notifies us within 30 days of that notice that the Adverse Change materially harms Customer, and we cannot remediate within a further 30 days, Customer may terminate the affected Order Form and receive a pro-rata refund of pre-paid fees for the unused portion of the term. This is Customer's sole and exclusive remedy for Adverse Changes.
4. Generated Containers, Customer Data, and Platform APIs
4.1 Ownership
As between the parties, Customer owns the Generated Containers and all Customer Data. AnySaaS makes no ownership claim over your prompts, the applications you deploy, or the data those applications process. AnySaaS owns and retains all right, title, and interest in and to the Services (excluding the Generated Containers), including the Platform, the Documentation, all templates, patterns, and models, and any de-identified, aggregated data derived from operation of the Services.
4.2 Licence you grant to AnySaaS
You grant AnySaaS a limited, worldwide, royalty-free licence to use, copy, transmit, and process Customer Data solely to (a) provide, secure, and support the Services; (b) generate the Container you requested; and (c) produce aggregate, de-identified analytics that do not identify Customer or any individual. Except as expressly set out in these Terms or the Documentation, we do not use Customer Data to train foundation models.
4.3 Deployment in your infrastructure
You are solely responsible for the deployment, configuration, security, monitoring, backup, capacity planning, disaster recovery, and legal compliance of Generated Containers that run in your infrastructure, including for the data those containers process. AnySaaS has no access to your production environments unless you engage us for a managed deployment under an Enterprise Order Form.
4.4 API rate limits and fair use
Default Platform API rate limits, unless a higher limit is stated in an Order Form:
- Free tier — 60 requests/minute; 10 concurrent generations; 2,000 requests/day.
- Enterprise (Standard) — 600 requests/minute; 50 concurrent generations; 200,000 requests/day.
- Enterprise (Scale) — as agreed in the Order Form.
We may rate-limit, throttle, or block requests that (i) exceed these limits, (ii) show patterns consistent with automated abuse, or (iii) materially degrade the performance of the Services for other customers. Sustained excess use may result in tier upgrade fees after 30 days' notice.
4.5 Backwards compatibility, versioning, and deprecation
The Platform APIs follow semantic versioning. AnySaaS will not introduce breaking changes within a major version of the Platform API. When we deprecate a feature or API endpoint, we will:
- publish the deprecation on anysaas.ai/changelog;
- notify Enterprise customers by email;
- maintain the deprecated feature or endpoint for a minimum of 12 months after the deprecation announcement; and
- continue to release security patches for the deprecated component for a minimum of 24 months after deprecation.
5. AI-generated output — express disclaimer
The Platform generates code, schemas, and configuration by applying machine-learning models to your prompts. You acknowledge that:
- AI-generated output may be incorrect, incomplete, insecure, or unsuitable for your specific requirements;
- identical or similar prompts may produce different outputs across generations, and AnySaaS does not guarantee reproducibility;
- you are responsible for reviewing, testing, and validating all output before deploying it to production or exposing it to end users, and you will treat generated code with the same review rigour you would apply to code written by a new engineer;
- you must not use the Services, without qualified professional review in the applicable discipline, to build applications for: (a) medical diagnosis, treatment, or safety-of-life systems; (b) autonomous vehicles or weapons systems; (c) critical infrastructure control (power, water, transport signalling); (d) legally-binding automated decisions in credit, insurance, employment, or immigration; or (e) any use case identified by applicable law as "high-risk" (including as defined in the EU AI Act);
- AnySaaS makes no warranty that generated code is free from bugs, security vulnerabilities, or intellectual-property claims by third parties (subject to the IP indemnity in § 16 for the Enterprise Edition).
6. Support and Service Level Agreement (Enterprise Edition only)
6.1 Support tiers and response times
Each incident is assigned a Severity Level by AnySaaS, acting reasonably and in consultation with Customer. Target initial response times, measured from the moment Customer submits a valid ticket through the support portal at support.anysaas.ai:
- S1 — Critical. Control Plane is unavailable or a security vulnerability is actively being exploited. Response: 1 hour, 24×7.
- S2 — High. Major functionality is impaired with no reasonable workaround. Response: 4 hours, 24×7.
- S3 — Medium. Non-critical bug or degraded functionality with a workaround. Response: 1 Business Day.
- S4 — Low. Documentation, feature requests, general questions. Response: 3 Business Days.
Response time is time to first substantive engineer response, not time to resolution. Higher-tier support plans (24×7 named engineer, dedicated Slack channel, quarterly business reviews) are available on the Order Form.
6.2 SLA — Uptime commitment
AnySaaS commits to a monthly Uptime Percentage for the Control Plane of at least:
- 99.9% for the Enterprise (Standard) tier; and
- 99.95% for the Enterprise (Scale) tier.
"Uptime Percentage" for a calendar month = (total minutes in the month − Unplanned Downtime minutes) / total minutes in the month, expressed as a percentage. "Unplanned Downtime" means any minute during which more than 5% of valid Control Plane API requests, measured across all Customers, return HTTP 5xx errors, as measured by AnySaaS's monitoring system.
Unplanned Downtime excludes:
- Planned maintenance announced at least 72 hours in advance, capped at 4 hours per calendar month and scheduled between 06:00 and 12:00 UTC on Sundays where feasible;
- emergency security patches, capped at 30 minutes per incident;
- issues caused by Customer's infrastructure, network, misconfiguration, or misuse;
- events of Force Majeure (§ 23);
- Beta or preview features (§ 3.5).
6.3 Service credits
If AnySaaS fails to meet the Uptime Percentage in a calendar month, Customer is entitled to a service credit against the next monthly invoice for the affected subscription:
- Uptime ≥ 99.0% but < committed tier: 10% credit
- Uptime ≥ 95.0% but < 99.0%: 25% credit
- Uptime < 95.0%: 50% credit
To claim a credit, Customer must submit a written request to [email protected] within 30 days after the end of the affected month, including sufficient detail to validate the claim. Total credits in any calendar month may not exceed 50% of Customer's monthly fee for the affected subscription. Service credits are Customer's sole and exclusive remedy for any breach of the SLA.
7. Acceptable Use Policy
You will not, and will not permit any third party to:
- use the Services in violation of applicable law or the rights of others;
- use the Services to build, host, or distribute malware, phishing pages, spyware, botnet infrastructure, or content that infringes intellectual-property rights;
- use the Services to generate content that is unlawful, defamatory, obscene, or that depicts sexual abuse of minors;
- send spam or unsolicited marketing, or scrape the Services in violation of
robots.txtor applicable rate limits (§ 4.4); - reverse-engineer, decompile, or attempt to derive source code from the non-open components of the Services, except to the extent expressly permitted by law;
- circumvent authentication, rate limits, licence controls, or usage metering;
- use the Services to develop a directly competing product;
- impersonate any person or entity, or misrepresent your affiliation; or
- use the Services in violation of the AI-output restrictions in § 5.
We may investigate and take enforcement action for suspected violations, including suspending or terminating access (§ 10) and cooperating with law enforcement.
8. Fees, billing, taxes, and refunds
8.1 Fees
- The Open Source Edition and free tier are free of charge, subject to the limits in § 3.3.
- Enterprise fees are set out in the applicable Order Form and are invoiced annually in advance unless otherwise stated.
- All fees are non-cancellable and, except as expressly stated in § 3.6, § 6.3, § 8.4, or § 10, non-refundable.
8.2 Payment terms
- Invoices are due net 30 from the invoice date, payable by ACH, wire, or credit card in U.S. dollars.
- Late payments accrue interest at the lesser of 1.5% per month or the maximum permitted by law, plus reasonable collection costs.
- Disputed invoice items must be raised in writing within 15 days of the invoice date; undisputed amounts remain due on the original date.
8.3 Taxes
All fees are exclusive of taxes. Customer is responsible for all sales, use, VAT, GST, withholding, and similar taxes (other than taxes on AnySaaS's net income). If Customer is required to withhold tax, Customer will provide documentation and gross-up the payment so AnySaaS receives the invoiced amount in full.
8.4 Renewal and price changes
Order Forms auto-renew for successive terms of the same length unless either party gives written notice of non-renewal at least 30 days before the end of the then-current term. AnySaaS may increase renewal fees by up to 10% per year on 60 days' written notice; larger increases require Customer's written consent, failing which either party may allow the Order Form to expire without penalty.
8.5 Refunds
Refunds are available only where expressly stated in these Terms — specifically: (a) pro-rata refund of pre-paid, unused fees on Adverse Change termination (§ 3.6); (b) service credits for SLA breach (§ 6.3); (c) pro-rata refund on termination for cause by Customer (§ 10.2); and (d) refund on IP-infringement termination by AnySaaS (§ 16.1).
9. Suspension
We may immediately suspend all or part of your access to the Services if we reasonably believe: (a) your use is causing harm to the Services or third parties; (b) your account is being used to violate the Acceptable Use Policy or applicable law; (c) suspension is required by law or a governmental request; or (d) your fees are more than 15 days overdue after notice. We will use reasonable efforts to limit the scope and duration of any suspension and to notify you. Suspension does not relieve Customer of the obligation to pay fees.
10. Term and termination
10.1 Term
These Terms take effect when you first accept them and continue until terminated. Order Forms have the term stated in them and, unless a party gives at least 30 days' written notice of non-renewal before the end of the then-current term, renew as described in § 8.4.
10.2 Termination for cause
Either party may terminate an Order Form (and, if no Order Form is then in effect, these Terms) for material breach that remains uncured for 30 days after written notice describing the breach in reasonable detail. Customer breach of § 7 (Acceptable Use) or § 8 (Fees) is deemed material. AnySaaS material breach that remains uncured entitles Customer to a pro-rata refund of pre-paid, unused fees.
10.3 Termination for insolvency
Either party may terminate immediately if the other party ceases business, becomes insolvent, files for bankruptcy, or makes an assignment for the benefit of creditors.
10.4 Effect of termination
On termination or expiration:
- all rights to access the Enterprise Edition end;
- Customer will cease use of the Enterprise Edition and Documentation;
- each party will return or destroy the other's Confidential Information within 30 days, except that AnySaaS may retain records required for legal, tax, or audit purposes;
- Customer's Generated Containers already deployed in Customer's infrastructure continue to operate — AnySaaS has no ability to disable them — but Customer will not receive further updates or patches;
- Data export. For 30 days following termination, Customer may download all Customer Data (prompts, project metadata, generated artefacts) via the Control Plane or by written request to [email protected]. After that 30-day window, AnySaaS will hard-delete Customer Data within 30 days, subject to the retention exceptions in the Privacy Policy;
- sections that by their nature should survive (Definitions, Ownership, Disclaimers, Limitations, Indemnity, Confidentiality, Governing Law, and this survival clause) will survive.
11. Warranties
Each party represents and warrants that:
- it has full corporate power and authority to enter into these Terms;
- execution and performance will not violate any other agreement or applicable law; and
- it will comply with all laws applicable to its performance, including anti-corruption, sanctions, and data-protection laws.
For the Enterprise Edition, AnySaaS additionally warrants that:
- the Services will materially conform to the Documentation during the subscription term;
- the Services will meet the Uptime Percentage stated in § 6.2 (Customer's exclusive remedy for breach being the service credits in § 6.3);
- we will not materially decrease the overall functionality of the Services during a paid subscription term, except as permitted under § 3.6; and
- we scan all release artefacts for known malware before publication and use commercially reasonable efforts to remediate reported vulnerabilities on the following timelines: Critical — 7 days; High — 30 days; Medium — 90 days.
Customer's sole and exclusive remedy for breach of the material-conformance warranty is, at AnySaaS's option: (i) correction of the non-conformity, (ii) provision of a workaround, or (iii) if neither is commercially reasonable within 30 days of written notice, termination of the affected subscription with a pro-rata refund of pre-paid, unused fees.
12. Disclaimers
EXCEPT AS EXPRESSLY SET OUT IN § 11, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT GENERATED OUTPUT WILL MEET YOUR REQUIREMENTS. THE OPEN SOURCE EDITION, FREE TIER, TRIAL, AND BETA FEATURES ARE PROVIDED WITHOUT ANY WARRANTIES AT ALL.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (b) EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE FEES CUSTOMER PAID OR OWED TO ANYSAAS UNDER THE APPLICABLE ORDER FORM IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY (OR US $100 IF NO FEES WERE PAID).
The limitations above do not apply to: (i) either party's indemnification obligations under § 16; (ii) Customer's payment obligations under § 8; (iii) either party's liability for gross negligence, wilful misconduct, or fraud; (iv) a party's breach of the confidentiality obligations in § 15 relating to unauthorised disclosure of the other party's data or trade secrets; or (v) any liability that cannot be limited under applicable law.
14. Insurance
Throughout the term, AnySaaS will maintain, at its own expense, the following insurance with reputable carriers: (a) Commercial General Liability of not less than US $2,000,000 per occurrence / US $5,000,000aggregate; (b) Cyber Liability / Technology Errors & Omissions of not less than US $5,000,000 per claim; and (c) Workers' Compensation as required by law. Certificates of insurance are available on request under NDA.
15. Confidentiality
Each party may disclose to the other information marked or reasonably understood to be confidential ("Confidential Information"). The receiving party will use the same degree of care it uses to protect its own confidential information (and no less than reasonable care), limit access to personnel with a need to know, and use Confidential Information only to perform its obligations under these Terms. Obligations do not apply to information that is or becomes public without breach, was rightfully known without duty of confidentiality, is independently developed, or is required to be disclosed by law (with prompt notice where legally permissible). Confidentiality obligations survive termination for 5 years; trade secrets remain protected for as long as they qualify as such under applicable law.
16. Indemnification
16.1 By AnySaaS (Enterprise only)
AnySaaS will defend and indemnify Customer against third-party claims that Customer's use of the Enterprise Edition in accordance with these Terms and the Documentation directly infringes such third party's copyright, trade secret, or (in jurisdictions where issued) patent, and will pay damages finally awarded (or amounts in a settlement approved by AnySaaS). AnySaaS's obligations do not apply to claims arising from (a) Customer Data or prompts; (b) modifications to the Services not made by AnySaaS; (c) combination with items not supplied by AnySaaS; or (d) use after AnySaaS has provided a non-infringing alternative.
If use of the Enterprise Edition is enjoined or reasonably likely to be enjoined, AnySaaS may at its option (i) procure the right to continue use, (ii) modify the affected component to be non-infringing, or (iii) terminate the affected subscription and refund the pro-rata portion of pre-paid, unused fees. This § 16.1 states AnySaaS's entire liability and Customer's sole remedy for third-party IP claims.
16.2 By Customer
Customer will defend and indemnify AnySaaS against third-party claims arising from (a) Customer Data or prompts; (b) Customer's Generated Containers, including their deployment, operation, and the data they process; (c) Customer's breach of § 7 (Acceptable Use); or (d) violation of applicable law by Customer or its end users.
16.3 Procedure
The indemnified party will promptly notify the indemnifying party of any claim, cooperate in the defence, and permit the indemnifying party to control the defence and settlement (provided that no settlement admitting liability or imposing a non-financial obligation on the indemnified party may be entered without its consent, not to be unreasonably withheld).
17. Data protection
AnySaaS's processing of Personal Data in connection with the Services is described in the Privacy Policy. Where AnySaaS processes Personal Data on Customer's behalf (e.g., under a managed deployment), the AnySaaS Data Processing Agreement at anysaas.ai/legal/dpa applies and is incorporated by reference. To the extent required by applicable law, AnySaaS will cooperate with Customer's reasonable audit requests, no more than once per calendar year, on 30 days' written notice, subject to confidentiality obligations.
18. Export, sanctions, and anti-corruption
Each party represents that it, its affiliates, and its personnel involved in performing under these Terms are not (a) located in, or a resident or national of, any country subject to comprehensive U.S. sanctions (currently Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, Kherson, Luhansk, and Zaporizhzhia regions of Ukraine); or (b) listed on the U.S. Treasury Department's SDN List, U.S. Commerce Department's Entity List, or any analogous restricted-party list. Each party will comply with all applicable export-control, sanctions, and anti-corruption laws, including the U.S. Foreign Corrupt Practices Act, the UK Bribery Act, and the EU Anti-Corruption Directive.
19. Governing law; dispute resolution; class-action waiver
19.1 Governing law
These Terms are governed by the laws of the State of California, USA, excluding its conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods.
19.2 Informal resolution
Before filing a claim, each party agrees to try to resolve the dispute informally by contacting the other at [email protected] (for AnySaaS) or the notice address on file (for Customer). If the dispute is not resolved within 60 days, either party may proceed under § 19.3.
19.3 Binding arbitration
Except for (a) actions for injunctive relief for infringement or misappropriation of intellectual-property rights, (b) small-claims-court actions, and (c) collections actions for undisputed amounts, any dispute arising out of or relating to these Terms will be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules, before a single arbitrator, seated in San Francisco, California, in English. Judgment on the award may be entered in any court of competent jurisdiction. Each party bears its own costs; the arbitrator may award reasonable attorneys' fees to the prevailing party. Arbitration will be completed within 180 days of the arbitrator's appointment where feasible.
19.4 Class-action waiver
The parties waive any right to bring or participate in a class, collective, or representative action. The arbitrator may award relief only on an individual basis. If this waiver is held unenforceable, then the entirety of § 19.3 is null and void, and the dispute will be resolved in the courts identified in § 19.5.
19.5 Court forum
For disputes that are not subject to arbitration under § 19.3, the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in San Francisco County, California, and waive any objection based on forum non conveniens.
20. Publicity
Unless otherwise agreed on an Order Form, AnySaaS may identify Customer as a customer in marketing collateral using Customer's name and logo, subject to Customer's brand guidelines provided in advance. Customer may withdraw this permission at any time by emailing [email protected]; withdrawal takes effect for materials produced after 30 days of receipt.
21. Notices
Legal notices to AnySaaS must be sent to [email protected] with a copy by courier to the postal address in the preamble. Notices to Customer are sent to the email address on file for the account. Notices are effective on the earlier of receipt or 3 Business Days after sending by courier.
22. Assignment
Neither party may assign these Terms without the other's written consent (not to be unreasonably withheld), except that either party may assign, on written notice and without consent, to a successor in interest in connection with a merger, acquisition, or sale of all or substantially all its assets, provided the successor is not a direct competitor of the non-assigning party and assumes all obligations under these Terms.
23. Force majeure
Neither party is liable for failure or delay in performance (other than payment obligations) caused by events outside its reasonable control, including acts of God, natural disasters, war, terrorism, riots, labour disputes, government action, internet or power outages, and pandemics, provided the affected party takes reasonable steps to mitigate and gives prompt notice. Force Majeure suspending performance for more than 60 consecutive days entitles the non-affected party to terminate the affected Order Form.
24. Miscellaneous
- Entire agreement. These Terms, together with any Order Form, the Privacy Policy, and the DPA (where applicable), constitute the entire agreement between the parties and supersede all prior agreements on the subject matter. Any purchase-order or vendor-portal terms are expressly excluded, even if referenced or acknowledged.
- Order of precedence. In the event of conflict: (1) the Order Form; (2) the DPA (for Personal Data processing); (3) these Terms.
- Amendments. AnySaaS may update these Terms; changes take effect on the date posted, except that Adverse Changes to Enterprise customers require the 60-day notice described in § 3.6.
- Waiver & severability. A failure to enforce is not a waiver. If any provision is held unenforceable, the remaining provisions remain in effect and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
- Independent contractors. The parties are independent contractors; these Terms do not create any agency, partnership, or joint venture.
- Third-party beneficiaries. There are no third-party beneficiaries under these Terms.
- U.S. government end users. The Services are "commercial items" as defined in FAR 2.101 and are licensed to U.S. government end users only as commercial items with only those rights granted to other end users, consistent with DFARS 227.7202.
- Interpretation. "Including" means "including without limitation". Section headings are for convenience only.
